Osdire's Terms & Conditions

These Terms of Service (“Terms”) set out the conditions under which you may access and use the Osdire website and mobile applications, including all content, functionality, and services offered through www.osdire.com and the Osdire mobile application (together, the “Platform”).

Osdire Ltd, located at Liverpool L3 1BY, and its affiliated entities (“Osdire”, “we”, “our”, or “us”) provide the Platform to you. The terms “you” or “user” refer to any person or entity accessing or using the Platform.

By creating an account, accessing, or using any part of the Platform, you agree to be bound by these Terms, along with our Payment Terms, Community Guidelines, and Privacy Policy (collectively, the “Policies”), which are incorporated here by reference. If you do not accept these Terms or our Privacy Policy, you must not use the Platform.

Please review these documents carefully before using the Platform. If you are acting on behalf of a business or organization, you confirm that you are authorized to accept these Terms on its behalf.

1) Who we are

These Terms & Conditions (the “Terms”) govern your access to and use of iCopify (the “Platform”), a marketplace that connects buyers and independent sellers of digital services (the “Services”). The Platform is operated by Icopify Ltd, a company registered in [Jurisdiction] with registered office at Liverpool, L3 1BY (”Company”, “we”, “us”, or “our”).

By creating an account or using the Platform you agree to these Terms and our Privacy Policy.

2) Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. If you use the Platform on behalf of a business, you represent that you have authority to bind that business.

3) The marketplace; our role

iCopify provides an online venue where buyers (“Buyers”) and independent service providers (“Sellers”) can discover, contract, and transact. We do not employ Sellers, do not control or guarantee their work, and are not a party to the contracts between Buyers and Sellers.

Except where we expressly state otherwise, we do not provide escrow, legal, accounting, or professional services.

4) Accounts and verification

• You must provide accurate information and keep it updated. One person/business may maintain a single account unless we approve otherwise.
• We may require identity or business verification (e.g., KYC, tax forms) and may suspend or terminate accounts that fail verification.
• You are responsible for maintaining the confidentiality of your credentials and for activity under your account.

5) Listings, orders, and delivery

• Sellers describe their Services in listings, including scope, pricing, delivery times, and revisions. Sellers must ensure listings are accurate and lawful.
• Buyers place orders via the Platform; Sellers must deliver the agreed deliverables by the promised time. Buyers must review and accept/reject deliveries within the specified review period.
• Communication must occur via Platform messaging. Circumvention (moving a transaction off‑platform to avoid fees) is prohibited for [12] months after initial contact.

6) Fees, payments, and payouts

• Buyers pay the order amount plus any applicable Platform fees and taxes at checkout.
• We use third‑party payment processors (e.g., Braintree/PayPal) to process payments. By paying or receiving payouts you agree to the processor’s terms.
• Seller payouts are subject to clearance times, chargebacks, fraud checks, and applicable fees. We may hold or reverse payouts if we suspect fraud, abuse, or chargebacks.
• Sellers are independent contractors and are responsible for their own taxes and regulatory obligations. We may issue tax forms where required by law.

7) Cancellations, refunds, and disputes

• Before delivery: Buyers may request cancellation; Sellers may accept or propose alternatives.
• After delivery: If work does not match the agreed scope, Buyers may request revisions or dispute; we may review messages/deliverables and, at our discretion, issue refunds or partial credits.
• Our dispute support is a facilitation service only; decisions regarding refunds/credits are final and made in our sole discretion.

8) Ratings and reviews

After an order, Buyers may rate and review Sellers. Reviews must be truthful, relevant, and non‑abusive. We may remove reviews that violate these Terms.

9) Acceptable use and prohibited content

You agree not to:

• Use the Platform for illegal, deceptive, harmful, or infringing activities;
• Post or deliver content that violates IP rights, privacy, publicity, or applicable laws;
• Engage in spam, scraping, malware distribution, or attempts to bypass security;
• Offer or request Services involving adult/sexual content with minors, violence, hate, weapons, illegal drugs, or any activity that is illegal or requires professional licensing without such license;
• Share others’ personal data without lawful basis and consent.

We may remove content or suspend accounts for violations.

10) Intellectual property

• Buyer materials: Buyers grant Sellers a limited license to use materials solely to perform the order. Buyers represent they have the rights to supply those materials.
• Work product: Unless the order states otherwise, upon full payment the Seller grants the Buyer a worldwide, non‑exclusive, royalty‑free license to use the final deliverables for the Buyer’s business purposes. Sellers may retain portfolio rights to showcase non‑confidential work unless the order specifies an NDA or exclusive assignment. Use a custom agreement if you need exclusive IP assignment.
• Platform IP: We (and our licensors) own the Platform and its content. You may not copy, modify, or distribute the Platform except as allowed by these Terms.

11) Confidentiality

Sellers and Buyers must protect confidential information received through the Platform and use it only for the order.

Do not upload sensitive personal data unless necessary and lawful.
