Osdire Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the Osdire website and mobile application (together, the “Platform”), including all content, functionality, and marketplace services made available through it.
The Platform is operated by iCopify Ltd, a company registered in the United Kingdom with its registered office at Liverpool L3 1BY, trading under the name Osdire (“Osdire”, “we”, “our”, or “us”). “You” and “User” refer to any individual or business accessing or using the Platform.
By creating an account, accessing, or using the Platform, you agree to these Terms and to our Payment Terms, Community Guidelines, and Privacy Policy (together, the “Policies”), which are incorporated by reference. If you do not agree, you must not use the Platform.
If you use the Platform on behalf of a business, you confirm that you have authority to bind that business to these Terms.

1. Definitions
In these Terms:
- Buyer: A User purchasing Services on the Platform.
- Freelancer (also “Seller”): A User offering and providing Services on the Platform as an independent contractor.
- User: Any person or entity using the Platform.
- Services: Digital services offered by Freelancers through the Platform.
- Listing (also “Offer”): A public service offer created by a Freelancer describing scope, price, revisions, and delivery timeline.
- Order: A transaction where a Buyer purchases a Listing on the Platform.
- Deliverables: Work product delivered under an Order.
- Content: Any text, images, video, files, listings, messages, deliverables, reviews, feedback, or other materials uploaded, published, transmitted, or generated through the Platform.
- Platform Fees: Fees charged by Osdire (including service fees, platform fees, payout fees, and processing-related fees) as displayed to the User.
- Non-Circumvention: Any attempt to move communication, payments, delivery, or performance off the Platform to avoid Platform Fees or Platform rules.
- Non-Solicitation: Any attempt to solicit or divert Users to transact outside the Platform or via competing platforms.
- Contact Information: Any information enabling off-Platform contact or payment, including email addresses, phone numbers, social handles, meeting links, external payment details, physical addresses, or equivalents, including disguised forms.
- Business Seller: A Freelancer acting for purposes relating to their trade, business, craft, or profession.
- Feedback: Any suggestions, ideas, comments, or other feedback provided to Osdire.
- VAT: UK Value Added Tax.
2. Who we are and what we do
Osdire is an online marketplace operated by iCopify Ltd that connects Buyers and Freelancers. Osdire provides the Platform and related tools and does not itself provide Freelancer Services unless explicitly stated.
3. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and legally capable of entering into a binding contract. If you use the Platform on behalf of a business, you confirm you are authorised to act on its behalf and bind it to these Terms.
4. The marketplace and our role
4.1 Marketplace venue. The Platform is a venue for Buyers and Freelancers to find each other and transact.
4.2 Independent contractors. Freelancers are independent contractors and are not employees, workers, agents, partners, or representatives of Osdire.
4.3 No supervision or guarantee. Osdire does not control, supervise, or guarantee Freelancer work and does not guarantee outcomes, quality, legality, or suitability of Services.
4.4 Contracts are between Users. Osdire is not a party to the contract formed between a Buyer and a Freelancer, except where Osdire is expressly identified as the provider of a particular feature or service.
4.5 No professional advice. Osdire does not provide legal, tax, accounting, investment, medical, or other professional advice.
5. Language and professionalism
5.1 English-only. The official language of the Platform is English. Listings, messages, requirements, disputes, and support communications must be in English and professional.
5.2 English controls. If translations are provided, the English version controls for compliance and enforcement purposes.
6. Accounts and verification
6.1 Account accuracy and security. You must provide accurate, complete, and current information and keep it updated. You are responsible for all activity on your account and for safeguarding login credentials.
6.2 One account; no transfer. One account per person or business unless approved by Osdire. You must not sell, transfer, rent, license, or permit third-party access to your account.
6.3 Verification and compliance checks. Osdire may require identity, business, tax, or compliance verification (including KYC). Failure to complete verification may result in restrictions, suspension, or termination.
6.4 Identity verification (Persona). Where required, verification is performed by Persona (a third-party provider). Osdire does not directly process or store your identity documents submitted to Persona except as necessary to confirm verification status and meet legal obligations. After verification, your country is locked and cannot be changed. A one-time USD $2.50 verification fee applies where verification is required.
6.5 Business Sellers — required information. If you act as a Business Seller, Osdire may require you to provide, on creating a Listing or on request: (a) name, address, telephone number, and email address; (b) copy of identification (passport/ID) or other electronic identification; (c) payment details; (d) trade registration number and register details (if applicable); (e) self-certification that Services comply with applicable laws and regulations (including EU regulations where applicable); and (f) additional supporting documents on request. If you fail to provide required information within a reasonable deadline, Osdire may restrict or suspend your account and/or Listings.
7. Listings, orders, delivery, and acceptance
7.1 Listings (Offers). Freelancers must clearly and accurately describe Services including scope, limitations, pricing, delivery timeline, revision terms, requirements, and any licensing terms.
7.2 Order placement. Buyers must place Orders through the Platform. Off-Platform ordering for any relationship originating on Osdire is prohibited.
7.3 Buyer requirements. Buyers must provide all information and materials required for delivery. If requirements are missing, the delivery timeline may pause. Osdire may cancel an Order where requirements are not provided within a reasonable time.
7.4 Delivery. Freelancers must deliver what was agreed within the stated timeframe. Deliverables must be submitted through the Platform unless Osdire provides an approved submission method.
7.5 Review period and acceptance. Buyers must review Deliverables within the Platform’s review period. If no action is taken within the review period, the Order may be treated as accepted for the purpose of releasing payouts, subject to dispute and fraud controls and applicable law.
7.6 Revisions. Revisions are limited to what is included in the Listing/Order scope. Additional work requires a new Order or a formally agreed add-on through the Platform.
7.7 Physical shipping (if enabled). The Platform is designed for digital delivery. If Osdire enables physical shipping for a specific Listing type, the Freelancer must disclose shipping costs, delivery estimates, and responsibilities for customs duties. Osdire is not responsible for carrier delays or customs outcomes.
8. Platform-only rules: contact information, payments, non-circumvention, and non-solicitation
8.1 No sharing Contact Information. You must not publish, request, or share Contact Information on the Platform (including in messages, Listings, Deliverables, images, files, metadata, or embedded links) where the purpose or likely effect is to enable off-Platform contact or payment.
8.2 Limited operational exceptions. If a Service legitimately requires third-party access (e.g., repository invites, app store roles, domain access), you must use Platform-approved mechanisms where available. You remain prohibited from using such access to bypass the Platform.
8.3 Platform payments only; off-Platform payments prohibited. All payments for Orders, add-ons, revisions, and any related work arising from contact on Osdire must be processed through Osdire’s payment flow. You must not request or accept payment outside the Platform (including PayPal links, bank transfers, crypto wallets, gift cards, or any other method).
8.4 Non-circumvention. You must not circumvent the Platform by moving any portion of communication, payment, delivery, or ongoing work off the Platform to avoid Platform Fees or Platform rules.
8.5 Non-solicitation; competitor diversion. You must not solicit or divert Users to transact outside Osdire or via competing marketplaces (including Fiverr, Upwork, Freelancer, or similar platforms).
8.6 Duration. Sections 8.1–8.5 apply during your use of the Platform and for 12 months after the earlier of: (a) the first message between a Buyer and Freelancer on Osdire, or (b) the first Order between them.
8.7 Enforcement and remedies. Violations may result in Content removal, Order cancellation, refund or credit adjustments, withholding or reversal of payouts, permanent loss of promotional credits, account restrictions, suspension, or termination. Where permitted by law, Osdire may also recover avoided Platform Fees.
9. Fees, payments, and payouts
9.1 Fee transparency. Platform Fees, payout fees, and applicable taxes are displayed before purchase or withdrawal. Up-to-date fee information may be published on the Platform and in the Help Centre.
9.2 Checkout pricing. Buyers pay the Listing price plus applicable Platform Fees and taxes shown at checkout.
9.3 Payment processing (PayPal). Payments and payouts are processed through PayPal or other providers made available by Osdire. By paying or receiving payouts, you also agree to the payment provider’s terms. Osdire is not responsible for provider outages or provider-side disputes, except where required by law.
9.4 Payment holds and release. Osdire and/or its payment providers may place holds to manage fraud, compliance, dispute risk, or chargebacks. Payout release may be delayed pending completion, acceptance, dispute resolution, verification, or risk checks.
9.5 Chargebacks and reversals. If a Buyer initiates a chargeback or payment reversal, Osdire may place the account on hold, suspend features, reverse payouts, and recover amounts from future payouts or other lawful means.
9.6 Withholding and negative balances. Osdire may withhold or deduct amounts from payouts where necessary to manage fraud risk, policy violations, refunds, reversals, or chargebacks. If your account has a negative balance, Osdire may require repayment and restrict account access until resolved.
10.VAT and taxes (UK)
10.1 VAT charging. Osdire is UK-registered and may charge UK VAT where required by law based on Buyer billing information, location, and tax status.
10.2 VAT remittance and invoices. Where applicable, Osdire will remit VAT to HMRC. Receipts and VAT invoices may be provided via the Platform where required.
10.3 User responsibility. Users are responsible for providing accurate billing information and for their own tax obligations unless Osdire is legally required to collect or report information.
11. Cancellations, refunds, and disputes
11.1 Cancellations before delivery. Buyers may request cancellation. Freelancers may accept, decline, or propose alternatives consistent with Platform rules.
11.2 Issues after delivery. If Deliverables do not match the agreed scope, the Buyer may request revisions or open a dispute through the Platform within the applicable timeframe.
11.3 Osdire dispute handling. Osdire may review messages, files, timestamps, Listings, and delivery history to assist resolution and may decide outcomes including refunds, partial refunds, credits, required redelivery, or release of funds.
11.4 Finality and statutory rights. Osdire’s decision is final within the Platform process, but nothing in these Terms limits statutory rights that cannot be excluded or limited under UK law.
12.Ratings and reviews
Buyers may leave ratings and reviews. Reviews must be accurate, relevant, and non-abusive. Osdire may remove reviews that violate these Terms or Policies and may take action against manipulation, coercion, or review fraud.
13.Acceptable use and prohibited content
13.1 General prohibitions. You must not use the Platform to: violate law; infringe IP, privacy, or publicity rights; harass, threaten, or abuse; distribute malware or spam; scrape the Platform; bypass security; or share personal data without lawful basis and required consent.
13.2 Prohibited Services and Content. You must not post, offer, request, or deliver Services or Content involving: gambling or betting (including crypto gambling and wagering facilitation); deceptive crypto/token marketing, pump-and-dump promotion, or financial scams; adult sexual content, pornography, explicit sexual services, or sexually explicit nudity; illegal drugs or drug paraphernalia; weapons or illegal weapon acquisition; fraud, deception, forgery, impersonation; hate, harassment, or violent extremist content; minors in any adult or sexual context; hacking, malware, phishing, credential theft, exploitation; academic cheating, plagiarism services, or cheating facilitation; copyright infringement, piracy, or unauthorised use of trademarks; and regulated or licensed services where the Freelancer cannot demonstrate proper authorisation. Osdire may remove Content, cancel Orders, withhold payouts, and suspend or terminate accounts.
14.Recommendation and ranking systems
Osdire uses automated systems to recommend, rank, and display Listings and Freelancers. Ranking may consider factors such as Buyer preferences, search relevance, delivery performance, completion rates, response time, reviews, account standing, verification status, and compliance indicators. Osdire does not guarantee any placement, ranking, or volume of Orders. Ranking factors may change and Osdire may take measures to prevent manipulation and preserve Platform integrity. If Osdire introduces paid promotion or sponsored placement, it will be labelled where required by law.
15.Content moderation (automated tools + human review)
Osdire uses a combination of automated tools and human review to moderate Content and enforce Policies. Automated systems can be wrong and may result in false positives or false negatives. Users remain responsible for compliance regardless of whether Content is detected. If Content is removed or an account is actioned and you believe it is incorrect, contact support@osdire.com. Osdire may conduct manual review and may uphold, modify, or reverse decisions at its discretion, subject to applicable law.
16.Intellectual property and licensing
16.1 Buyer materials. Buyers grant Freelancers a limited licence to use Buyer-provided materials solely to fulfil the Order and warrant they have the right to provide such materials.
16.2 Default licence to Buyer (on full payment). Unless otherwise stated in the Listing or agreed in writing through the Platform, upon full payment the Freelancer grants the Buyer a worldwide, perpetual, non-exclusive, royalty-free licence to use, reproduce, display, distribute, and modify the final Deliverables for business purposes.
16.3 Freelancer retained rights. Freelancers retain all rights in pre-existing materials, tools, templates, libraries, processes, and know-how used to produce Deliverables. Freelancers may reuse general skills and non-confidential elements.
16.4 Source files and formats. Unless included in the Listing or agreed as an add-on, source files and editable formats are not required to be delivered.
16.5 Portfolio rights. Freelancers may display non-confidential work in portfolios unless the Buyer has requested confidentiality in writing through the Platform before delivery or the Listing explicitly excludes portfolio use.
16.6 Commercial Use License (optional; if offered and purchased). If the Buyer purchases a “Commercial Use License” (where offered), the Freelancer grants a perpetual, exclusive, non-transferable, worldwide licence to use the Deliverables for Permitted Commercial Purposes. The Freelancer retains ownership subject to the licence. “Permitted Commercial Purposes” means lawful business uses including advertising, promotion, websites, and integration into products or tools, and excludes illegal, immoral, or defamatory purposes. No warranties are provided, and liability is limited as permitted by law.
16.7 Platform IP. The Platform software, branding, and design are owned by iCopify Ltd or its licensors. You may not copy, modify, distribute, or reverse engineer the Platform except as permitted by law.
17.Public deliverables and Osdire marketing use
You grant Osdire a worldwide, non-exclusive, royalty-free licence to use, reproduce, display, and distribute: (a) Deliverables that a Buyer has agreed to publish as part of a review or otherwise made public through the Platform; and (b) logo designs delivered through the Platform where such logo designs are publicly displayed by the Buyer, solely for Osdire marketing, product demonstrations, and promotion of the Platform. This licence does not apply to Deliverables that are confidential by agreement between Buyer and Freelancer made through the Platform prior to delivery, or where the Buyer requests removal and Osdire determines the request is reasonable.
18.Confidentiality
Buyers and Freelancers must keep confidential information received through the Platform confidential and use it only to complete the Order. Users must not upload sensitive personal data unless necessary, lawful, and authorised.
19.Promotions and credits
Osdire may offer discounts, credits, referrals, or other promotions (“Promotions”) subject to separate promotional terms. Promotions may be modified or withdrawn at any time where lawful. Users must not abuse Promotions. Osdire may void, reverse, reclaim, or deduct promotional credits and take enforcement action where abuse, fraud, or coordinated manipulation is suspected.
20.Feedback
If you provide Feedback, you grant Osdire a non-exclusive, perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify, publish, and exploit that Feedback for any purpose, without compensation. Osdire has no obligation to implement Feedback.
21.Suspension, termination, and enforcement
Osdire may investigate suspected violations and may place accounts on hold, restrict features, remove Listings, cancel Orders, withhold payouts, reverse credits, or permanently disable accounts where it reasonably believes you have breached these Terms or Policies, provided Services are low-quality or harmful, or where required by law. Where appropriate, Osdire may cooperate with law enforcement or regulators.
22.Account deletion and inactive accounts
22.1 Deletion. You may request account deletion through the Platform or by contacting Support. Osdire may decline or delay deletion where necessary to complete active Orders, comply with legal obligations, resolve disputes, or prevent fraud.
22.2 Inactive accounts. Osdire may anonymise or delete personal data for inactive accounts in accordance with its retention policies and legal obligations.
23.Data protection (UK GDPR)
Osdire processes personal data in accordance with the UK GDPR and the Data Protection Act 2018, as described in the Privacy Policy.
24.Third-party services and links
The Platform may link to or integrate with third-party services. Osdire does not control and is not responsible for third-party content, policies, availability, or actions.
25.Disclaimer of warranties
YOUR USE OF THE PLATFORM, ITS CONTENT, FEATURES, SERVICES AND PROGRAMS, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM AND ANY SERVICES OR ITEMS OBTAINED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, PROVIDED THAT OSDIRE HAS ACTED WITH REASONABLE PROFESSIONAL DILIGENCE.
OSDIRE MAKES NO WARRANTY THAT THE PLATFORM WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
THIS DOES NOT AFFECT WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
26.Limitation of liability
26.1 Exclusions. Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law.
26.2 No indirect loss. Subject to section 26.1, Osdire will not be liable for any indirect, consequential, special, incidental, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings.
26.3 Liability cap. Subject to section 26.1, Osdire’s total liability to you for all claims arising out of or in connection with these Terms or the Platform will not exceed the total Platform Fees paid by you to Osdire in the 12 months preceding the event giving rise to the claim.
26.4 Third-party conduct. Osdire is not liable for disputes between Users, the actions of Freelancers or Buyers, or third-party services, except where required by law.
27.Indemnity
You will indemnify and hold harmless Osdire, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or Policies; (b) your Content; (c) your Services, Deliverables, or Listings; (d) your violation of law; or (e) your infringement of any third-party rights.
28.Notices
28.1 Notices from Osdire. Osdire may provide notices via the Platform, email, or other reasonable means.
28.2 Notices to Osdire. Legal notices to Osdire must be sent to support@osdire.com and may be required to be provided in writing to iCopify Ltd at its registered office address.
29.Changes to these Terms
Osdire may update these Terms from time to time. The “Last updated” date will change. If changes are material, Osdire may provide additional notice where required by law. Continued use of the Platform after the effective date of changes constitutes acceptance.
30.Governing law and jurisdiction (UK)
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except that if you are a consumer and the laws of your country grant you the right to bring proceedings in your local courts, nothing in this clause limits those rights.
31.General terms
31.1 Entire agreement. These Terms and the Policies constitute the entire agreement between you and Osdire regarding the Platform and supersede any prior agreements.
31.2 Severability. If any provision is found unlawful or unenforceable, the remaining provisions remain in effect.
31.3 No waiver. Failure by Osdire to enforce any right or provision is not a waiver.
31.4 Assignment. You may not assign or transfer your rights under these Terms without Osdire’s prior written consent. Osdire may assign these Terms to an affiliate or successor.
31.5 Third-party beneficiaries. Except as expressly stated, these Terms do not confer rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
31.6 Force majeure. Osdire is not liable for delay or failure to perform due to events beyond its reasonable control, including payment provider outages, internet failures, and acts of government.
